Please read these Terms of Service carefully before using any product operated by Scolah, Inc. By creating an account or using our services, you agree to be bound by these terms. If you do not agree, do not use our services.


1. About These Terms

These Terms of Service (“Terms”) are a legal agreement between you and Scolah, Inc. (“we”, “us”, “our”) and govern your access to and use of:

  • Scolah — the parent and family platform, including the mobile app and associated web services
  • Scolah Compass — the social protection and case management platform, including the web portal, caseworker app, and admin dashboard
  • Scolah Care — the elderly care visibility platform connecting families with care facilities
  • Any APIs, integrations, or other services we provide

References to “services” in these Terms cover all of the above. Where a term applies only to one product, it is labelled accordingly.


2. Eligibility

You must be at least 18 years old to create an account. By accepting these Terms, you confirm that:

  • You are at least 18 years of age, or are accessing the service as an authorised representative of an organisation
  • You have the legal capacity to enter into a binding agreement
  • You are not prohibited from using our services under the laws of your jurisdiction

If you are accessing Compass on behalf of an NGO, government agency, or other organisation, you represent that you have the authority to bind that organisation to these Terms.


3. Accounts and Access

Registration. You must provide accurate, current, and complete information when creating an account. You are responsible for keeping your account information up to date.

Credentials. You are responsible for maintaining the confidentiality of your password and any multi-factor authentication credentials. Do not share your credentials with anyone. You are responsible for all activity that occurs under your account.

Account security. Notify us immediately at legal@scolah.com if you suspect unauthorised access to your account.

One account per person. Personal accounts may not be shared between multiple individuals. Compass agencies may create staff accounts for each authorised team member.


4. Acceptable Use

You agree not to use our services to:

  • Upload, transmit, or store any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Impersonate any person or entity, or falsely represent your affiliation with a person or entity
  • Access or attempt to access any part of the services you are not authorised to use
  • Scrape, crawl, or systematically extract data from our services without prior written permission
  • Reverse engineer, decompile, or disassemble any part of our software
  • Interfere with or disrupt the integrity or performance of our services, servers, or networks
  • Circumvent or attempt to circumvent any security, access control, or rate-limiting measure
  • Use the services to facilitate any illegal activity, including but not limited to fraud, money laundering, or data theft
  • Share, sell, or sub-licence access to your account or our services without our written consent

Compass-specific restrictions. If you access Compass as an agency operator or caseworker, you additionally agree not to:

  • Register individuals as beneficiaries without a lawful basis to process their personal data under applicable law
  • Use beneficiary data for any purpose other than the administration of the programme for which they were enrolled
  • Share beneficiary records with unauthorised third parties
  • Use the AI features to make final eligibility or disbursement decisions without human review and oversight

5. Intellectual Property

All content, software, trademarks, logos, and other materials made available through our services are the property of Scolah, Inc. or our licensors and are protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to use our services for their intended purpose in accordance with these Terms. This licence does not permit you to copy, modify, distribute, sell, or create derivative works of any part of our services.

Your data remains yours. You grant us a limited licence to process your data solely to provide and improve the services as described in our Privacy Policy.


6. Subscription and Payment (Scolah App)

Plans. Scolah is available on free and paid subscription tiers. The features available on each tier are described within the app and may change over time.

Billing. Paid subscriptions are billed in advance on a monthly or annual cycle. Payment is processed by our payment provider; by subscribing you agree to their terms.

Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time.

Price changes. We may change subscription prices with at least 30 days’ notice. If you do not accept a price change, you may cancel before the new price takes effect.

Refunds. All sales are final unless required otherwise by applicable consumer protection law.


7. Compass — Operator Obligations

If your organisation deploys Compass to manage a social protection programme, you are the data controller for all beneficiary and applicant data you enter into the system. You agree to:

  • Establish and document a lawful basis for processing personal data (including special category data such as health information and national identification numbers) before registering any individual
  • Obtain any consent or authorisation required by applicable law, including from parents or guardians of minors
  • Ensure your caseworkers and staff are trained on data protection obligations and acceptable use of the platform
  • Maintain and honour a process for responding to data subject rights requests from beneficiaries
  • Notify us promptly at privacy@scolah.com if you become aware of a data breach involving beneficiary data processed through Compass
  • Not use Compass for any purpose that violates applicable human rights, child protection, or data protection law

Scolah, Inc. processes beneficiary data on your behalf as a data processor. Our obligations as processor are set out in a separate Data Processing Agreement (DPA) available on request at legal@scolah.com.


8. Scolah Care — Facility Obligations

If your care facility uses Scolah Care to log resident care and communicate with families, you agree to:

  • Obtain appropriate consent or legal authority to create and maintain a digital profile for each resident, including from residents or their legal guardians where required by applicable health, privacy, or care regulation
  • Ensure that any health data, medication records, and advance directives entered into the platform are accurate and kept up to date
  • Manage family access permissions carefully — you are responsible for determining which family members may access a resident’s information and revoking access when a relationship or care arrangement ends
  • Not use the platform to store or share health information beyond what is necessary for the care and family communication purposes for which it was designed
  • Comply with any applicable health data protection, elder care, and duty-of-care regulations in your jurisdiction
  • Notify us promptly at privacy@scolah.com if you become aware of a data breach involving resident health data

Scolah Care is a communication and record-keeping tool. It does not constitute medical advice, clinical care management, or a replacement for a certified health information system. Scolah, Inc. is not liable for clinical decisions made on the basis of data entered into the platform.


9. AI Features

Our services include AI-powered features such as activity recognition, goal analysis, and risk assessment scoring (Compass). These features are provided for informational and operational support purposes only.

AI outputs are advisory, not authoritative. AI-generated suggestions, risk scores, and assessments must be reviewed and validated by a qualified human before being acted upon. Scolah, Inc. is not liable for any decision made in reliance on an AI output without human oversight.

AI features are powered by our own proprietary, self-hosted model — not a third-party AI provider. Data used by these features is processed within our own infrastructure under the same safeguards described in our Privacy Policy. We minimise the data used by AI features and avoid processing personally identifiable beneficiary information without anonymisation or aggregation where technically possible.


10. Third-Party Services

Our services integrate with and depend on third-party providers for functions such as email and SMS delivery, push notifications, and cloud file storage, as well as optional payment processors that your organization may configure to enable online disbursement. We are not responsible for the availability, performance, or terms of these third-party services. Your use of third-party services accessed through ours may be subject to their own terms and privacy policies.


11. Service Availability

We aim to provide reliable, high-availability services but do not guarantee uninterrupted access. We may:

  • Temporarily suspend access for maintenance, upgrades, or emergency security measures
  • Modify or discontinue features with reasonable notice
  • Impose usage limits (such as API rate limits) to protect service integrity

We will make reasonable efforts to give advance notice of planned downtime.


12. Disclaimers

Our services are provided “as is” and “as available” without warranty of any kind. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the services will be error-free or uninterrupted, that defects will be corrected, that servers are free of viruses, or that results will be accurate or reliable.


13. Limitation of Liability

To the maximum extent permitted by applicable law, Scolah, Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising from your use of or inability to use our services, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising from these Terms or your use of the services will not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) one hundred US dollars (USD 100).

Nothing in these Terms limits our liability for fraud, gross negligence, wilful misconduct, or any liability that cannot be excluded by law.


14. Termination

By you. You may close your account at any time from within the app settings. A 30-day grace period applies during which you may reactivate. After this period, your account data is permanently anonymised.

By us. We may suspend or terminate your access if we reasonably believe you have materially breached these Terms, if required to do so by law, or if you have not accessed the services for an extended period with reasonable prior notice. We will notify you unless doing so would compromise a security investigation or is prohibited by law.

Effect of termination. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and governing law — will survive.


15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of [Jurisdiction — TBD], without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the competent courts of [Jurisdiction — TBD].


16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you via the platform or by email at least 14 days before the changes take effect. Your continued use of the services after the effective date constitutes acceptance. If you do not agree, you must stop using the services and close your account.
